Terms of Service
The terms governing professional use of Prescia AI, including acceptable use, solicitor oversight, and liability.
Draft — pending review by qualified counsel. This document is a working template provided for transparency. It has not yet been reviewed or approved by a solicitor and does not constitute legal advice. Verify and adapt before relying on it.
1. Agreement
These terms are a contract between you (and, where applicable, the firm or organisation you represent) and Prescia AI Limited(“Prescia AI”). By accessing or using Prescia AI you agree to them. If you are using Prescia AI on behalf of a firm, you confirm you are authorised to bind that firm.
2. What Prescia AI is — and is not
Prescia AI is a professional productivity tool that helps qualified legal professionals research, review, and draft using AI and their firm's own knowledge. It is intended for use by, or under the supervision of, a qualified solicitor.
Prescia AI does not provide legal advice and is not a substitute for professional judgment. AI outputs may be incomplete, out of date, or wrong. Every output must be read, critically evaluated, and approved by a competent professional before any reliance is placed on it. You remain fully responsible for your work product and professional obligations, including the duty not to mislead any court or tribunal.
3. Your responsibilities (human oversight)
- Review and verify all AI-generated content, including citations and quotations, against authoritative sources before use.
- Ensure you have the right to upload any documents or data you submit, and that doing so complies with your professional and confidentiality obligations.
- Do not submit confidential client information via any AI model flagged in the transparency statement as not offering zero data retention.
- Keep your credentials secure and use the service in line with these terms and applicable law.
4. Acceptable use
You agree not to:
- Use the service unlawfully, or to infringe the rights of others.
- Present unreviewed AI output as independent professional work product.
- Attempt to breach security, reverse-engineer, scrape, or overload the service, or circumvent access controls or usage limits.
- Upload malware or content you are not entitled to process.
5. Subscriptions and fees
Access is provided on the subscription plan agreed with your firm. Fees are charged on a flat-rate basis for platform access and are independent of the volume, value, or outcome of any legal matter. Prescia AI does not charge commissions, referral fees, or any payment contingent on introduced legal business.
6. Intellectual property
You and your firm retain ownership of the documents and content you upload. We retain ownership of the Prescia AI platform, software, and brand. You are granted a limited, non-exclusive, non-transferable right to use the service during your subscription.
7. Disclaimers and limitation of liability
The service is provided “as is” without warranties of any kind to the fullest extent permitted by law. Prescia AI is not liable for professional decisions made in reliance on AI outputs that were not independently verified. Nothing in these terms limits liability that cannot be limited by law. Subject to that, our aggregate liability is limited to the fees paid for the service in the twelve months before the event giving rise to the claim.
8. Suspension and termination
We may suspend or terminate access for breach of these terms or to protect the service or its users. You or your firm may stop using the service at any time, subject to the subscription agreement.
9. Governing law
These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply.
